Introduction

Proofed Inc. (“Proofed,” “we,” “us,” or “our”) provides an online platform (the “website,” including proofed.com, proofed.co.uk, getproofed.com.au and affiliated sites) for professional proofreading and editing services. These Terms and Conditions govern all use of the website and Proofed’s services by any user. By accessing our website or using our services, you (“user,” “customer,” or “you”) agree to be bound by these Terms and Conditions. If you have a separate written contract with Proofed, its terms take precedence if conflicts arise.

Intellectual Property (Client Content)

You retain all copyright and intellectual property rights in your original content. Edits, suggestions, and changes we provide become your property. You remain responsible for reviewing and implementing these suggestions and for ensuring your final content is correct, lawful and non-infringing.

Proofed’s Use of Your Content

We use your documents solely to perform the requested services and for internal archival, training, service, and tool improvement. Your content is handled with enterprise-grade confidentiality throughout and is never shared publicly without your explicit permission.

Payment Terms

Personal: Pre-payment required. Refunds available for cancellations before work begins, minus any incurred costs. Any pre-paid credits purchased on the website are valid for twenty-four (24) months from the date of purchase, unless otherwise stated at the time of purchase. Unused credits automatically expire at the end of this period and are non-refundable. Expired credits have no cash value, may not be redeemed or reinstated, and are non-transferable.

Business: Post-pay invoicing possible upon agreement. Payment due 30 days post-invoice via bank transfer preferred (credit cards incur ~3% fee). Interest charged on overdue payments (1% per month).

AI Content Policy

Proofed strictly prohibits editors from using third-party AI tools for editing. AI-detection scores post-editing may vary and are not reliable indicators (Frontier AI models no longer provide AI-detection for this reason). Proofed therefore disclaims responsibility for AI detection outcomes.

Confidentiality

Proofed maintains strict confidentiality for all client documents. Your materials are protected indefinitely through our secure infrastructure, data protection and destruction policies, and internal privacy protocols. Confidential information includes submitted documents and related communications. Both parties agree to protect this information indefinitely.

Liability and Warranties

Proofed provides services with reasonable care but limits liability strictly to direct damages up to the order’s cost. No responsibility assumed for indirect, incidental, consequential damages, or content inaccuracies present in the original document.

Governing Law

These Terms are governed by New York law.

User Types

For the purposes of these Terms, Proofed distinguishes between two types of users. “Business” users are companies, organizations, or other entities that create an account, purchase Services, or enter into a contract with Proofed on behalf of a business. “Personal” users are individual consumers who access or purchase Services in their own capacity and not on behalf of a business or organization.

Certain provisions in these Terms apply only to specific user types, as indicated in the relevant sections. All other provisions apply to all users.

Your Warranties

You represent and warrant that you own or have permissions for the submitted content and ensure it does not infringe third-party rights or include unlawful material. You agree to indemnify Proofed from related claims or liabilities.

Acceptance

Completed orders are deemed accepted unless you notify us in writing within one week that they do not meet the agreed standards as outlined herein. If a completed order falls short, we will re-evaluate it promptly and remedy any issues that do not align with our service framework.

Use of AI Tools in Human Services

At Proofed, we use advanced AI technology to support our human editors. These tools help us to maintain consistency and act as a safety net against any potential issues. Every piece of content is still reviewed and finalized by a human editor, who makes every key decision.

The AI tools solely process the content uploaded for the order; our tools never receive personal or account information, and we do not store, save, or use your content to train external AI systems. This process is secure, confidential, and designed to improve your overall experience while keeping your data fully protected.

Business Client Undertakings

Clients should provide specific style guides or terminology in writing. Providing style guides and terminology in writing ensures your edited content better meets your requirements. When none are provided, we shall use our in-house style guide and editorial expertise to maintain a consistent, high-quality standard.

Business Delivery Speed SLA

The guaranteed turnaround and delivery speed shown at order creation are dynamically calculated based on the length and scope of each document. Proofed maintains a 95% guaranteed on-time service rate each month, measured against the delivery speed calculated for every individual order, ensuring you can rely on consistent delivery even during high-volume periods. Any delays beyond this SLA that are caused by Proofed will result in no charge for the affected work.

Minimum Rates and Premium Formats

Minimum charge: 1,000 words or 1 hour per order.

Premium formats: PDF, PPTX, GSLIDES, XLSX, GSHEETS: 20% premium when charged per word. No premium when charged per hour.

Quotes

Quotes based on document word count and requested service; all prices in USD (proofed.com), GBP (proofed.co.uk) and AUD (getproofed.com.au). Prices may vary until formally ordered.

Right to Refuse Work

Proofed may refuse service for any reason, including but not limited to inaccurate client information, plagiarism, unlawful or unethical content, or if content quality precludes effective editing. When this occurs, we aim to communicate clearly and fairly. Partial charges may apply for work completed before cancellation.

Dispute Resolution and Arbitration

Any controversy, dispute, or claim arising from or relating to this Agreement or Services shall be resolved exclusively through binding arbitration in New York City under the Commercial Arbitration Rules of the American Arbitration Association (AAA). The arbitrator’s decision shall be final and binding, not subject to appeal or judicial review. Each party shall bear its own costs and fees, which will be non-recoverable.

Marketing and Publicity

Proofed may reference business clients publicly unless requested otherwise. Individual consumer details require explicit consent for marketing usage.

Supplementary Editor Terms

Guaranteed Work

Graduates from the “Knowadays Becoming a Proofreader” course who receive a passing grade of 80% or above (“Graduates”) are entitled to enroll for a trial period working as a freelance editor with Proofed, Inc. (“Proofed”). The trial involves proofreading 10 documents to allow Proofed to determine whether the Graduate can deliver work to the high standards that Proofed is committed to delivering to its customers and clients.

Remuneration

During the trial period, the freelancer will be paid at Proofed’s standard rate for each document they complete.

Duration of Trial Period

By the nature of the business, the amount of work Proofed has available is variable. The duration of the 10-document trial period is dependent on the Graduate’s availability and the work available from customers at the time. Proofed guarantees that all Graduates on a trial period will be given the opportunity to work on at least five documents within the first month of their enrollment date.

Contract Status

Editors on a trial period will be engaged as freelance independent contractors. This is the contract status of all creatives working with Proofed. This role does not constitute the Graduate as an employee or agent of Proofed and does not entitle the Graduate to receive any employee benefits. 

Eligibility

Proofed is a company registered in the US, and all payments to its freelancers are compliant with US regulations. The Graduate shall be responsible for the payment of the Graduate’s own taxes, and for the payment of any social security, unemployment, insurance, and other contributions required by law. The Graduate’s country of residence must have a double tax treaty with the US, as per the list maintained by the IRS.

End of the Trial Period

Once the Graduate has completed 10 proofreading documents, the Proofed team will decide whether they have achieved an acceptable standard of proofreading and working practices, and thus whether to continue their engagement as a contractor. The Graduate will then be notified by Proofed of its decision to continue or end the contract. If there is a delay in this notification, the Graduate shall be entitled to continue proofreading documents submitted by customers and shall be paid for such work in accordance with Proofed’s standard terms and conditions, until a decision regarding the contract is communicated by Proofed in writing.

In some circumstances, particularly if work quality has been inconsistent, Proofed may require an extension of the trial period, requesting the Graduate to proofread additional documents before a final decision is taken. This is solely at the discretion of Proofed.

Proofed Right to Terminate Trial Period

Proofed reserves the right to terminate the trial period at any time, by written notice, with or without cause. Any such decisions by Proofed shall be final and at its sole discretion.
